Pay Per Click Restrictions

Affiliate may not use any of the Summitsoft Corporation or other current or future trademarks or product names of Summitsoft Corporation, including without limitation, Summitsoft, Summitsoft Software, Summitsoft Corporation, Macware or any combination thereof, in advertising through online search engines ("PPC Advertising"). Affiliate may not use Summitsoft domain names (www.summitsoftcorp.com, www.macwareinc.com, or other domain names owned or controlled by Summitsoft) in Affiliate's display URL used in Pay-Per-Click advertising through the online search engines ("PPC Advertising") of its choice provided that Affiliate complies with the restrictions below. Affiliate may bid on Summitsoft product terms in connection with PPC Advertising provided that: (a) Affiliate selects the applicable Product as its top choice of products and does not promote or market products that compete with the applicable Product; or (b) if Affiliate promotes or markets competing products, Affiliate must promote and market the applicable Product in the most favorable position on Affiliate's website(s) in comparison to other similar products promoted and marketed by Affiliate. Summitsoft, in its sole discretion, will determine whether Affiliate promotes or markets competing products and whether the Products are promoted and marketed using the most favorable product positioning. Notwithstanding the foregoing, without the express written permission of Summitsoft, Affiliate may not engage in any type of bidding for PPC Advertising that competes with Summitsoft's own advertisements that appear on the first page of the search results. Affiliate may not use Summitsoft domain names, (www.summitsoftcorp.com, www.macXware.com, any variations of these or other domain names owned or controlled by Summitsoft) in Affiliate's display URL used in PPC Advertising or otherwise represent itself as Summitsoft or a subsidiary or agent of Summitsoft. Affiliate must clearly indicate that it is a member of Summitsoft's affiliate marketing program in connection with its promotion and marketing of the Products under this Agreement.
